BYLAWS OF THE
TEXAS EDUCATIONAL DIAGNOSTICIANS’ ASSOCIATION
SECTION I: PURPOSE
The purpose of this Association is to promote the profession of Educational Diagnosticians through programs, through research, and through the establishment and maintenance of professional standards in order to better serve the educational needs of individuals with disabilities.
SECTION II: MEMBERSHIP
A. Active membership shall be open to all Educational Diagnosticians certified by the State of Texas. Active members who are currently performing and/or have performed the duties of educational diagnosticians are eligible for election to office and have full voting privileges.
B. Associate membership shall be open to those who are employed as Educational Diagnosticians and are working toward certification. Associate members are ineligible for election to office, but have full voting privileges.
C. Professional affiliate membership shall be open to professionals working in related areas, but are not Educational Diagnosticians certified by the State of Texas. Professional affiliates are not eligible for election to office and do not have voting privileges.
D. Student affiliate membership shall be open to students working toward certification as an Educational Diagnostician. Student affiliates are not eligible for election to office and do not have voting privileges.
E. Retired membership shall be open to all retired Educational Diagnosticians who held active membership in the past. Retired members are ineligible for election to office, but have full voting privileges.
F. The membership and fiscal year shall be from August 1 through July 31.
SECTION III: ORGANIZATION
The organization shall be composed of a Board of Directors, Executive committee, committees, advisors, and members.
SECTION IV: BOARD OF DIRECTORS
The Board of Directors shall consist of a President, a President-Elect, a Vice President, a Secretary, a Membership Secretary, a Treasurer, an Immediate Past President, and the Chairperson of the Texas professional Educational Diagnostician’s Board of Registry (as a non-voting, ex-officio member). All members of the Board of Directors, herein called the Executive Board, must be certified and have performed the duties of an educational diagnostician (except for the ex-officio member) at the time of their election to office.
A. The Nominating committee shall report the nominees for the Executive Board at the Texas Educational Diagnosticians’ Association Annual Conference. Before the election, additional nominations from the floor shall be accepted.
B. The officers shall be elected by written ballot to serve for a term specified, or until their successors are elected.
1. The President-Elect shall be elected for three (3) consecutive one-year terms that include the offices of President-Elect, President, and Immediate Past President.
2. The Vice President and Treasurer shall be elected to a term of two years in odd numbered years.
3. The Secretary and Membership Secretary shall be elected to a term of two years in even numbered years.
C. The newly elected officers shall take office at the summer meeting of the Executive committee.
D. Vacancies in the Executive Board will be filled as follows:
1. The President-Elect shall succeed to the office of the President at the expiration of the President’s term of office or when a vacancy occurs in the office of the President.
2. If a vacancy occurs in the office of the President-Elect, and Vice President shall serve as acting President-Elect for the remainder of the term.
3. If a vacancy occurs in any office except that of the President or President-Elect, the Executive Board shall appoint a member to serve only until the end of the term or until replaced by a duly elected successor.
E. Vacancies in appointed positions shall be filled by the President with the approval of the Executive Board.
SECTION V: EXECUTIVE COMMITTEE
The Executive Committee shall consist of the Executive Board, the Chairperson of each standing committee, and the President and President-Elect of each local chapter or their designees.
SECTION VI: COMMITTEES
A. Standing committees shall be the Governmental Awareness committee, the Organizational Affairs committee, the Annual Conference Committee, and the Nominating committee.
B. Temporary committees may be established at the discretion of the President, with the approval of the Executive Board. Functions and duration of the committee must be clearly indicated by the President at the time of the appointment.
SECTION VII: MEETINGS
A. The annual general meeting of this Association shall be at the Annual Conference. The purpose shall be the election of officers, and the conducting of all business of the Association except for adopting an annual budget and emergency business matters as cannot be held in reserve for consideration of the general membership. Any additional general meetings shall be duly called by written notification to the general membership no less than thirty (30) days prior to the proposed meeting.
B. The Executive Board shall meet a minimum of two times per year. The meetings shall be held at the TEDA Annual Conference and as designated by the Board. The President may call other Executive Board meetings as needed.
C. The Executive Committee shall meet a minimum of two times per year. One meeting shall be held at the TEDA Annual Conference. A second meeting shall be held as designated by the Board. The President, with prior approval of the Executive Board, may call other Executive committee meetings as needed.
SECTION VIII: QUORUM
A. A quorum at a duly called general meeting shall be those active and associate members present.
B. A quorum of the Executive Board shall consist of four (4) of the elected officers.
SECTION IX: AMENDMENTS
A. Proposed amendments to these Bylaws shall be submitted in writing to the Organizational Affairs Committee for consideration no later than one hundred and twenty (120) days before any legally constituted meeting of the general membership.
B. The Organizational Affairs Committee shall refer all proposed amendments in writing, with recommendations to the Executive Board, no later than sixty (60) days before any legally constituted meeting of the general membership.
C. All proposed amendments presented to the Executive Board shall be submitted in writing to the general membership not less than thirty (30) days before any legally constituted meeting of the general membership.
D. Adoption of any proposed amendment shall become a part of these Bylaws by a two-third (2/3) majority of the votes at any legally constituted meeting of the general membership.
SECTION X: PARLIAMENTARY AUTHORITY
The rules contained in the current edition of Robert’s Rules of Order shall govern the Association in all cases to which they are applicable and which they are not inconsistent with the bylaws and any special rules of order the Association may adopt.
SECTION XI: DISSOLUTION
Upon the dissolution of the Association, after discharging all liabilities, the Executive Board shall distribute any assets attributable to net earnings or accumulated income in such a manner as to further the purpose of education of individuals with disabilities in the State of Texas.
